1. What FOOZ Does
FOOZ is a service for food creators. You give us a cooking video you made. We use artificial intelligence to produce localized versions of the content around it — translated recipes, captions, ingredient lists and shopping lists — in the languages you choose. We also produce reports estimating which countries, languages and audiences represent growth opportunities for your content.
Everything FOOZ produces is generated by automated systems, not written or checked by a person. We call those results the “Outputs” throughout these Terms. You are interacting with an AI system whenever you use the Service.
FOOZ does not publish anything on your behalf, does not operate your social accounts, and does not guarantee that any Output will perform, reach an audience, or earn revenue.
2. The Waitlist, and What You Are Signing Up For
FOOZ has not launched. Today the only thing available is a waitlist: you give us an email address and we contact you if and when early access opens.
Joining the waitlist does not create an account, does not entitle you to access, and does not cost anything. We are not providing the Service described in Section 1 yet. We may change the product, delay it, or never launch it at all.
When early access opens, you will be asked to agree to the version of these Terms in force at that time before you can upload anything.
3. Eligibility and Your Account
You must be at least 18 years old to join the waitlist or use FOOZ. FOOZ is not directed at children and we do not knowingly collect information from anyone under 18.
You must give us accurate information, keep your sign-in details secure, and tell us promptly at legal@fooz.io if you believe someone else has accessed your account. You are responsible for activity that happens under your account.
One account per person. You may not share an account, sell it, or transfer it to someone else without our written consent. If you use FOOZ on behalf of a company or another rights-holder, you confirm you are authorised to accept these Terms for them.
You must be legally permitted to use the Service, including under applicable sanctions and export-control laws.
4. What You Can and Cannot Upload
You keep ownership of everything you upload — your video, audio, images, text and recipes. We call that “Your Content”.
By uploading, you promise that:
- You own Your Content, or you have all the rights and licences needed to let us process it as described in Section 5.
- Any music, footage, images or text in Your Content that you did not create is properly licensed for this use. Platform licences for posting on a social network do not automatically cover processing through FOOZ.
- Every identifiable person appearing or speaking in Your Content has given you permission to use their image and voice this way.
- Your Content does not infringe anyone's intellectual property, privacy, publicity or other rights, and does not break any law.
This section carries a lot of weight. If a rights claim arises from Your Content, Section 18 makes it your responsibility, so please do not upload material you are unsure about.
5. The Licence Needed to Run FOOZ
To do what you are asking us to do, we need your permission to handle Your Content. You grant FOOZ a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, transcode, transcribe, translate, create derivative works from, and display Your Content solely to the extent necessary to operate, provide, secure and support the Service for you, and to create the Outputs you request.
That licence is deliberately narrow. It exists so the software can function. It is not a licence to market, resell or publish your work.
We will not use Your Content to train, fine-tune or otherwise develop general-purpose or foundation AI models, whether our own or any third party's. We do not sell or license Your Content to any third party for model training. If we ever want to do anything of that kind, we will ask you separately and you will be free to say no.
The licence lasts as long as you keep the content in your account. When you delete content or close your account, the licence ends, and we remove the content from active systems promptly and from routine backups within 30 days, except where we are legally required to keep it longer.
We may use aggregated, de-identified statistics about how the Service is used — information that does not identify you and cannot be used to reconstruct Your Content — to operate and improve FOOZ.
6. Who Owns the Outputs
As between you and FOOZ, we assign to you all of our right, title and interest in and to the Outputs generated from Your Content. You are free to publish and monetise them, subject to these Terms.
You should understand what that does and does not get you. Under current United States law, as set out in the Copyright Office's 2025 report on copyrightability, material generated purely by an AI system is not protected by copyright, and supplying a prompt is not by itself enough to make you the author. Copyright protection depends on your own creative contribution. We cannot promise the Outputs are copyrightable, and we make no representation about their status in any other country.
Outputs are not guaranteed to be unique. Another creator submitting similar content may receive similar Outputs. We do not grant you exclusivity over any phrasing, translation or recipe formatting that the Service produces.
7. AI Transparency and Labelling
FOOZ is an AI system, and the Outputs are AI-generated or AI-modified content. Where technically feasible we apply machine-readable markings identifying Outputs as AI-generated, using C2PA Content Credentials or an equivalent standard, consistent with Article 50 of the EU AI Act.
Those markings are intended to survive normal handling, but we cannot guarantee that a third-party platform, editor or compression step will preserve them.
You remain responsible for disclosure when you publish. When you post an Output, you are the one making it public, and the law of your market — and often the rules of the platform you post to — may require you to label it as AI-assisted. We give you the tools; meeting the obligation is yours.
8. Accuracy, Translation and Food Safety
Read this section carefully. It concerns a real risk of physical harm.
The Outputs — including translations, recipes, ingredient lists, allergen references, quantities, measurements, cooking times and temperatures — are generated by AI, may be incomplete or wrong, and are not reviewed by a human, a nutritionist, a dietitian or any food-safety or regulatory specialist before they reach you. Machine translation of ingredient names is a known failure point: an ingredient may be rendered with a term that denotes a different substance in the target language, and unit conversions may be rounded or mistaken.
Because of that, you take on the following obligation:
- You must independently verify all ingredient, allergen, quantity and dietary information before you publish it, in every language you publish in.
- You are solely responsible for compliance with food-information law in each market you publish to, including Regulation (EU) No 1169/2011 on the provision of food information to consumers — which governs the fourteen declarable allergens and the language in which information must be given — and, in the United States, the Food Allergen Labeling and Consumer Protection Act and its nine major allergens.
- FOOZ Outputs are not food labels. They are editorial content for social media and must not be used as regulatory labelling, packaging copy, menu allergen notices or any other legally required food-information disclosure.
A person with a food allergy can be seriously harmed by a mistranslated or omitted ingredient. If you are not certain an Output is accurate in a given language, do not publish it.
To the fullest extent permitted by law, FOOZ is not liable for any loss, injury or claim arising from your publication of an Output that you did not verify. Nothing in this section or in Section 17 excludes liability for death or personal injury caused by our negligence, and nothing in it limits any right you have that cannot be limited by law.
9. Third-Party AI Providers and Subprocessors
FOOZ is built on third-party infrastructure. To deliver the Service we send Your Content to providers in the following categories: automatic speech recognition and transcription, machine translation, large language models, cloud hosting and storage, content delivery, error monitoring, and email delivery.
We maintain a current, dated list of these subprocessors and publish it alongside our Privacy Policy. We give advance notice before adding a new subprocessor that processes Your Content, and customers covered by data-protection law may object as described there.
We require our providers by contract to process Your Content only on our instructions and not to use it to train their own models. We cannot, however, be responsible for a provider's breach of its own contract beyond the remedies available to us.
10. Plans, Billing, Trials and Refunds
The waitlist is free and no payment details are collected. The paid terms below apply only once FOOZ launches a paid plan and you choose to subscribe.
Paid plans renew automatically for the period you selected until you cancel. We will tell you the price, the billing period and the renewal date before you subscribe, and we will give notice before any price change takes effect for your next period.
You may cancel at any time; cancellation stops the next renewal and does not retroactively refund the current period unless the law says otherwise.
If you are a consumer in the EU or UK you have a 14-day right of withdrawal. Where you ask us to begin providing a digital service immediately within that period, you acknowledge that you lose the right of withdrawal once performance has begun, to the extent permitted by law.
11. Beta and Early-Access Features
Early access, beta and experimental features are offered “as is” and “as available”. They may be changed, limited or withdrawn at any time without notice, may contain defects, and are not covered by any service-level commitment.
Do not rely on a beta feature for anything you cannot afford to lose or redo.
12. Your Market-Opportunity Reports
Market, audience and language recommendations are informational estimates derived from models and third-party data. They are not guarantees of reach, follower growth, engagement, revenue or commercial success, and they are not business, financial or investment advice.
Underlying platform data may be incomplete, delayed or wrong, and audience behaviour changes. Decisions you make on the basis of a report are yours.
13. Acceptable Use
You may not use FOOZ to:
- Create synthetic depictions of a real identifiable person without their explicit consent, including voice cloning or face replacement.
- Process content you scraped, downloaded or otherwise obtained from someone else without permission.
- Produce content that is unlawful, defamatory, hateful, harassing, sexually exploitative, or that promotes self-harm.
- Generate deliberately false health, nutrition, medical or food-safety claims.
- Circumvent the rules of any platform you publish to, or misrepresent AI-generated content where disclosure is required.
- Reverse-engineer the Service, scrape it, resell access to it, or use it to build a competing product.
- Interfere with the Service's operation or security, or exceed documented rate limits.
We may investigate suspected breaches and take proportionate action, including removing content and suspending access.
14. Intellectual Property in FOOZ Itself
FOOZ, the FOOZ name and logo, the Service's software, interfaces, models, prompts and documentation belong to us or our licensors. These Terms do not transfer any of that to you.
You get a limited, revocable, non-transferable right to use the Service while your account is in good standing. Nothing else is granted by implication.
Feedback you send us is welcome and we may act on it freely, without obligation or compensation to you.
15. Suspension, Termination and What Happens to Your Content
You may stop using FOOZ and close your account at any time.
We may suspend or close an account that breaches these Terms, creates legal risk for us or other users, or that we are required to act on by law. Except where immediate action is necessary, we will tell you why and give you a reasonable chance to respond.
After closure you will normally have 30 days to export Your Content and your Outputs. After that window we delete Your Content from active systems, and it ages out of routine backups within a further 30 days. We may retain limited records where law requires it or to resolve a dispute.
16. Disclaimers
THE SERVICE AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND. To the fullest extent permitted by law we disclaim all implied warranties, including merchantability, fitness for a particular purpose, title and non-infringement.
We do not warrant that the Outputs are accurate, complete, current, culturally appropriate, legally compliant in any market, or fit for publication, nor that the Service will be uninterrupted, secure or error-free.
Some jurisdictions do not allow the exclusion of certain warranties. Where that is the case, the exclusions above apply only to the extent permitted, and you may have rights that these Terms cannot take away.
17. Limitation of Liability
To the fullest extent permitted by law, FOOZ will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost followers, lost business opportunity, or loss or corruption of data, whether or not we were told such damages were possible.
Our total aggregate liability arising out of or relating to the Service is limited to the greater of the amounts you paid us in the twelve months before the event giving rise to the claim, or USD 100.
These limits do not apply to, and we do not exclude or limit, liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; gross negligence or wilful misconduct; or any other liability that cannot be excluded or limited under applicable law. Given the food-safety matters described in Section 8, the personal-injury carve-out is specifically preserved.
If you are a consumer, nothing in these Terms affects your mandatory statutory rights.
18. Your Indemnity
You agree to defend, indemnify and hold harmless FOOZ and its officers, employees and agents from any third-party claim, demand, loss or expense (including reasonable legal fees) arising out of:
- Your Content, including any claim that it infringes intellectual property, privacy or publicity rights, or that you lacked the rights described in Section 4.
- Your publication or other use of an Output, including any claim relating to ingredient, allergen, nutrition or food-safety information you did not verify.
- Your breach of these Terms or of any law applicable to you.
We will notify you of any claim we seek indemnity for, and you may control the defence provided any settlement that imposes obligations on us has our written consent.
19. Dispute Resolution, Arbitration and Class-Action Waiver
Talk to us first. Before starting a formal proceeding, send a description of the dispute and the resolution you want to legal@fooz.io. We will try in good faith to resolve it within 60 days.
If that fails, disputes arising out of the specific transaction or service you agreed to may be resolved by binding individual arbitration rather than in court, administered under the rules of a recognised arbitration provider, in English, in a location reasonably convenient to you or remotely.
You may opt out of arbitration within 30 days of first accepting these Terms by emailing legal@fooz.io with your name and account email. Opting out costs you nothing and does not affect anything else in these Terms.
Either of us may bring an individual claim in small-claims court instead. Claims are brought individually and not as a class, collective or representative action. Where a large number of similar claims are filed, the parties will cooperate with the provider's batching procedures to resolve them efficiently.
Limits on this section. Under California Civil Code section 1670.15, this section applies only to disputes arising from the transaction you actually consented to. Claims for public injunctive relief are not subject to arbitration in any forum, consistent with *McGill v. Citibank*. If any part of this section is held unenforceable, that part is severed and the remainder stands; if the class-action waiver is held unenforceable, this entire section does not apply.
Nothing here prevents either party from seeking urgent injunctive relief from a court to protect intellectual property or security.
20. Governing Law and Regional Rights
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws rules, and the courts located there have jurisdiction except where arbitration applies.
If you are a consumer resident in the European Union, the United Kingdom or another jurisdiction with mandatory consumer-protection rules, you keep the benefit of the mandatory law and the competent courts of your country of residence, and nothing above deprives you of that.
The English version of these Terms controls over any translation, unless applicable law requires otherwise.
21. Changes to These Terms
We may update these Terms as the product and the law change. We will post the updated version with a new “last updated” date.
For material changes we will give reasonable advance notice — by email or in the product — stating the effective date. Changes apply from that date onwards, not retroactively. Continuing to use FOOZ after the effective date means you accept the new version; if you do not, you may stop using the Service and close your account.
We do not claim a right to change these Terms silently.
22. General Terms and Contact
These Terms, together with the Privacy Policy and any plan-specific terms you accept, are the entire agreement between us about the Service. If a provision is held unenforceable, the rest continues in force. A failure to enforce a provision is not a waiver of it.
You may not assign these Terms without our consent. We may assign them as part of a merger, reorganisation or sale of assets, provided your rights are not reduced. Neither party is responsible for delays caused by events beyond its reasonable control. These Terms do not create an employment, agency or partnership relationship.
For support, legal questions, rights complaints, removal requests, arbitration opt-outs and disputes, contact us at legal@fooz.io.
